1. About Syrena
1.1 Syrena
Syrena is an agentic professional relationship network operated by Syrena Ltd (“Syrena”, “we”, “our”, “us”). Members join the Syrena network and may hire Ren, Syrena’s AI worker, to perform Relationship Work on their behalf.
Members give Ren professional Objectives, and Ren performs Relationship Work in pursuit of those Objectives using the information, permissions, functionality and network access available through the Syrena Service.
Our services are available through our websites, Ren and other digital interfaces and services we make available from time to time (collectively, the “Syrena Service”).
1.2 Ren
“Ren” is Syrena’s artificial intelligence system for professional Relationship Work.
Members may give Ren Objectives, instructions, information, permissions and feedback. Ren may use these to perform Relationship Work and personalise the Syrena Service.
When you interact with Ren, you are interacting with software and not with a member of our team unless we expressly tell you otherwise. Syrena may provide human support or human involvement in connection with the Syrena Service where appropriate.
1.3 Definitions
In these Terms:
- “Member” means any person or organisation registered to use the Syrena Service. A Member may pursue more than one Objective and may participate in different capacities depending on the relevant Objective or Relationship Work.
- “Objective” means a professional outcome or goal a Member asks Ren to pursue.
- “Member Brief” means the evolving understanding maintained through the Syrena Service about a Member, including information supplied by the Member and information or insights generated or inferred through their use of the Syrena Service, as further described in our Privacy Policy.
- “Relationship Work” means actions performed through Ren on a Member’s behalf in pursuit of an Objective.
- “Work” means Relationship Work that is chargeable in credits. The categories of Work and applicable credit charges are made available through the Syrena Service or at the point of purchase or use.
- “Credits” are units used to measure and pay for Work performed through Ren.
- “Standing” has the meaning given in clause 4.5.
- “Network Standing Rules” means the rules governing Standing that we make available through the Syrena Service from time to time.
- “Ren Output” has the meaning given in clause 2.4. “Ren Input” and “User Content” have the meanings given in clause 7.
1.4 Agreement to these Terms
These Terms take effect on the earlier of:
(a) the date you accept them at registration; and (b) the date you first access or use the Syrena Service.
If you do not agree to these Terms, you must not use the Syrena Service.
Your attention is drawn in particular to clause 2 (Our Role), clause 6.4 (Anti-Circumvention), clause 9 (Member Disclaimer), and clause 11 (Liability Limitations and Indemnity).

1.6 Changes to these Terms
We may update these Terms from time to time.
We will give you at least 30 days’ notice of any material change and will publish the updated Terms showing the date they take effect.
Changes required by law or reasonably necessary to protect the security, integrity or operation of the Syrena Service may take effect sooner where appropriate.
Continued use of the Syrena Service after updated Terms take effect constitutes acceptance of them. If you do not accept a material change, you may terminate under clause 12.1 before it takes effect. Where applicable, we will refund unused paid Credits on a pro rata basis.
2. Our Role
2.1 Not a Broker, Advisor or Recruiter
We are not a broker, dealer, financial advisor, recruitment agency or employment business, or intermediary of any kind. We do not advise on the merits of any opportunity or engagement, we do not act for either Member in any negotiation, and we take no view on whether any transaction is suitable for you.
We do not select, approach, or introduce any person on our own initiative or on our own account. Ren acts only on your instructions and in pursuit of the Objectives you set, and anything Ren does is done by you, through the Syrena Service, as a tool made available to you.
Where these Terms refer to an introduction being made, offered, or coordinated, that means an introduction generated at the direction of one or both of the Members concerned and accepted by them.
2.2 Not FCA Regulated
We are not authorised or regulated by the Financial Conduct Authority or equivalent.
2.3 Your Responsibility
You are solely responsible for your own assessment and due diligence in relation to any person, organisation, opportunity, information or relationship identified or facilitated through the Syrena Service.
2.4 Ren and AI-Generated Output
Ren is an automated AI-based system.
Recommendations, introductions, summaries, assessments, generated communications and other information or material generated through Ren (“Ren Output”) are provided on a best-efforts basis and may be inaccurate, incomplete or out of date.
Ren may make or support decisions concerning matters such as relevance, confidence, prioritisation, sequencing and the Relationship Work performed for you.
Ren Output:
- is not independently verified unless expressly stated otherwise;
- does not constitute legal, financial, investment, recruitment or other professional advice;
- should not be relied upon as a substitute for your own assessment or professional advice; and
- does not guarantee any outcome, opportunity, introduction, engagement or transaction.
You remain responsible for your decisions and due diligence in relation to anything surfaced or performed through Ren.
2.5 Investor Status and Financial Promotions
Any pitch deck, financial information, or other fundraising material made available through the Syrena Service is issued by the relevant Member and not by us: we do not approve it as a financial promotion, we do not verify it, and we do not communicate or cause it to be communicated on the issuing Member’s behalf.
If you make any fundraising or investment material available through the Syrena Service, or ask Ren to do so, you are solely responsible for ensuring that doing so is lawful.
In particular, you are responsible for complying with the restriction on financial promotions in section 21 of the Financial Services and Markets Act 2000, for satisfying yourself that each recipient falls within an available exemption before any material is communicated to them, and for obtaining and retaining any certification, statement, or other evidence that exemption requires.
You must take your own legal advice on these matters.
2.6 Not an Employment Agency or Employment Business
We are not an employment agency or an employment business within the meaning of the Employment Agencies Act 1973, and we do not carry on the business of finding people work or supplying people to work for others.
Ren is a tool you operate: where you use it in connection with hiring, any resulting search, shortlist, or approach is made by you and on your instructions, and not by us.
We do not hold ourselves out as acting for any work-seeker, we do not take instructions from work-seekers to find them work, and we charge no fee to any person for finding or seeking to find them work.
You are responsible for your own obligations in connection with any hiring activity you carry out using the Syrena Service, including under the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003 where they apply to you, and under equality and data protection law.
2.7 No Reliance on Us
You must not represent that Syrena has endorsed, approved or recommended you, another Member, or any opportunity unless we have expressly agreed otherwise in writing.
You must not represent that Syrena acts for you or another Member in any capacity other than providing the Syrena Service.
3. User Eligibility and Accounts
3.1 Eligibility
You must:
- be at least 18 years old;
- act wholly or mainly for purposes relating to your trade, business, craft or profession and not as a consumer;
- provide accurate and current information and update it where appropriate;
- keep your login credentials secure and not sell, transfer or improperly share your account;
- have authority to enter into these Terms on behalf of any organisation you represent; and
- not use the Syrena Service in breach of applicable sanctions laws.
3.2 Suspension and Termination
We may suspend or terminate access where you breach these Terms, misuse the Syrena Service, provide materially false or misleading information, or where suspension is reasonably necessary to protect Syrena, the Syrena Service, another Member or a third party.
3.3 Account Responsibility
You are responsible for activity conducted through your account using your credentials, except to the extent that such activity results from our breach of these Terms or failure to exercise reasonable care and skill.
You must notify us promptly if you believe your account or credentials have been compromised.
4. Network Membership, Ren and Credits
4.1 Network Membership
Joining the Syrena network and being eligible to receive Relationship Work or introductions may be free.
Eligibility, availability and prioritisation may be affected by your Standing and other rules applicable to the Syrena Service.
4.2 Hiring Ren
Members may hire Ren to perform Relationship Work in pursuit of one or more Objectives.
The Work available, applicable Credits, packages and other commercial terms will be shown through the Syrena Service or at the point of purchase or use.
4.3 Credits
Usage of paid Work is measured in Credits.
Credits may be consumed according to the nature, type, value, complexity or other characteristics of the Work performed. Applicable Credit charges will be made available through the Syrena Service.
We may change Credit charges prospectively. Changes will not retrospectively increase the Credit cost of Work already completed.
Credits:
- have no cash value;
- are not transferable unless we expressly permit otherwise; and
- are subject to the validity, expiry, rollover and other usage rules disclosed at the time they are purchased or granted.
Promotional or free Credits may be subject to different conditions from purchased Credits.
4.4 Billing
Paid Credit packages and other paid services are billed in accordance with the terms displayed at purchase.
Unless expressly stated otherwise:
- fees are payable in advance;
- consumed Credits are non-refundable; and
- fees are exclusive of VAT and other applicable taxes.
If payment is overdue, we may suspend access to paid functionality until the amount due is paid.
4.5 Standing
“Standing” is Syrena’s assessment of a Member’s reliability, activity and engagement within the network.
Standing may be generated or supported by automated systems and may affect matters including:
- visibility within the network;
- the opportunities or introductions offered or shown to you;
- prioritisation within the Syrena Service; and
- access to particular functionality.
Standing does not affect the price you pay for Credits.

5. Features and Limitations
5.1 Relationship Work, Matches and Introductions
Ren may perform Relationship Work in pursuit of your Objectives, including identifying, evaluating, recommending, requesting, facilitating or coordinating relevant relationships and opportunities.
Where the Syrena Service requires consent or acceptance from another person before completing an introduction or other Relationship Work, completion remains subject to that person’s decision.
We do not guarantee any particular match, introduction, response, funding, engagement, hire, transaction or other outcome.
5.2 Information and Materials
If you provide company documents, profiles, pitch materials or other information through the Syrena Service, you authorise us to process and use them to provide the Syrena Service and perform Relationship Work in accordance with these Terms and our Privacy Policy.
Where you request or authorise information to be shared with another Member, we may share it for the relevant Relationship Work.
Where materials are shared with another Member, that Member is subject to clause 6.3.
We do not control what a receiving Member does with materials shared with them, and we are not responsible for a Member’s misuse of them. You should not provide anything you are unwilling to have disclosed to a third party.
Where you instruct or authorise Ren to communicate with a person outside the Syrena network, different confidentiality protections may apply. You are responsible for determining what information you authorise Ren to disclose.
You may remove materials from future use or circulation where the relevant functionality is available, although we cannot recall information already lawfully disclosed to another person.
We do not warrant that materials provided by Members are accurate, lawful, suitable or fit for any particular purpose.
5.3 Interaction with Ren
You may provide Ren with information, instructions, permissions, preferences, feedback and other input.
Your interactions may be used to provide and personalise the Syrena Service and otherwise processed as described in our Privacy Policy.
Ren Output carries the limitations described in clause 2.4.
5.4 Connected Services and Permissions
The Syrena Service may allow you to connect or authorise access to third-party accounts, applications, tools or services.
Where you do so, Ren may use the information and permissions made available through those connections to perform Relationship Work and provide functionality you have requested or authorised.
You are responsible for ensuring that you are permitted to connect those services and grant the relevant permissions.
Our collection and use of information obtained through connected services is described in our Privacy Policy.
5.5 Human Support
Syrena may provide human support or human involvement in connection with the Syrena Service where appropriate, including in relation to Ren, Relationship Work and interactions between Members.
5.6 Availability and Changes
We do not guarantee that the Syrena Service will be uninterrupted, continuously available or error-free.
We may modify, replace, add, restrict, suspend or discontinue functionality where reasonably necessary for business, technical, security, legal or operational reasons.
Where a change materially reduces paid functionality you have already purchased, we will take reasonable steps to notify you and, where appropriate, provide an alternative, Credit adjustment or refund.
5.7 Human Review
Where applicable, Members may request human review of automated decisions that materially affect their access to the Syrena Service, Standing or Relationship Work.
Requests may be made using the contact details in clause 22 and will be handled in accordance with applicable law and our Privacy Policy.
6. Conduct Rules
6.1 Acceptable Use
You must not:
- use the Syrena Service for unlawful, fraudulent, abusive or misleading purposes;
- impersonate another person or misrepresent your identity, authority or affiliation;
- provide, disclose or use confidential, proprietary or personal information without appropriate authority;
- interfere with the operation, integrity or security of the Syrena Service;
- upload malicious, unlawful or infringing content;
- attempt to circumvent security or access controls;
- attempt to jailbreak, reverse-engineer or improperly extract underlying models, systems, prompts or protected technology;
- scrape, crawl or systematically extract information from the Syrena Service except through functionality we expressly provide;
- use the Syrena Service, Ren Output, Member data or information obtained through Syrena to build, train or materially improve a competing product or service;
- sell, sublicense or independently commercialise Member data, introductions or Ren Output except where expressly permitted;
- use another person’s account without authority; or
- circumvent or attempt to circumvent clause 6.4.
6.2 Enforcement
We may suspend or restrict a Member or Relationship Work where we reasonably believe these Terms have been breached or where action is reasonably necessary to protect the Syrena Service, Syrena, Members or third parties.
We may act without prior notice where reasonably necessary.
6.3 Member Confidentiality
Any non-public business, financial, commercial, technical or personal information you receive about another Member through the Syrena Service is confidential.
You must:
- use it only for the purpose for which it was disclosed;
- keep it reasonably secure;
- disclose it only to personnel or professional advisers who reasonably need it and are subject to appropriate confidentiality obligations; and
- cease using, return or destroy it where reasonably requested, subject to any legal or regulatory retention requirement.
This obligation continues for three years from receipt.
The Member to whom the confidential information relates may enforce this clause directly under the Contracts (Rights of Third Parties) Act 1999.
6.4 Anti-Circumvention
You must not use the Syrena Service or Ren to discover a relationship, opportunity or introduction and then systematically communicate, transact or engage outside the Syrena Service for the purpose of avoiding Credits or other fees that would otherwise become payable to Syrena.
This obligation applies for 24 months from the relevant introduction or disclosure.
If you breach this clause, you must pay us an amount equal to the fees or Credit charges that would have applied had the relevant activity taken place through the Syrena Service, together with our reasonable costs of recovery.
This is without prejudice to our other rights under these Terms.
7. Content and Intellectual Property
7.1 User Content
You retain ownership of content you upload or otherwise provide to the Syrena Service (“User Content”).
7.2 Licence to Operate the Service
You grant us a non-exclusive, worldwide, royalty-free licence, including the right to sublicense to processors acting on our behalf, to host, store, reproduce, process, analyse and share User Content to the extent reasonably necessary to:
- provide and operate the Syrena Service;
- perform Relationship Work you request or authorise;
- secure and maintain the Syrena Service; and
- exercise our rights and obligations under these Terms.
Our processing of personal data remains subject to our Privacy Policy.
This licence ends when the relevant User Content is deleted, except where continued processing or retention is permitted or required under these Terms, our Privacy Policy or applicable law.
We may continue to use information that has been aggregated or anonymised so that it no longer identifies you.
7.3 Marketing
We may identify you as a Member of the Syrena network where reasonably necessary to operate the Syrena Service.
We will obtain your permission before using your name, logo, User Content, testimonial or case study in public promotional or marketing materials, unless such use has otherwise been agreed with you in writing.
7.4 Your Rights to Content
You warrant that you own, control or are otherwise entitled to provide any User Content you submit and that our authorised use of it will not infringe another person’s rights or breach an obligation of confidentiality.
You will be responsible for losses reasonably incurred by us as a direct result of your material breach of this clause.
7.5 Member and Attendee Data
You must not sell or license Member or attendee personal data obtained through Syrena to third parties or use it for unrelated marketing or mailing lists without an appropriate lawful basis and any permission required by applicable law.
7.6 Data Protection
You must comply with applicable data protection law when processing personal data obtained through the Syrena Service.
7.7 Ren Input
You retain ownership of content, instructions and other materials you provide to Ren (“Ren Input”).
You grant us a non-exclusive, worldwide, royalty-free licence to process Ren Input to provide, operate, personalise, secure and improve the Syrena Service in accordance with our Privacy Policy.
Your provision of Ren Input does not give you any ownership interest in Ren, Syrena’s models, systems, software or other intellectual property.
7.8 Our Intellectual Property
The Syrena Service, Ren, our brands and all associated intellectual property rights are owned by Syrena or our licensors.
While these Terms remain in force, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Syrena Service for your internal business purposes in accordance with these Terms.
All rights not expressly granted are reserved.
7.9 Feedback
If you voluntarily provide feedback, ideas or suggestions concerning the Syrena Service, we may use them without restriction, attribution or payment.
8. Data Protection
8.1 Our Processing
We process personal data in accordance with applicable data protection law and our Privacy Policy.
8.2 Personal Data You Receive
Where you receive personal data relating to another person through the Syrena Service, you are responsible for processing that information lawfully, fairly and securely and for complying with any data protection obligations that apply to you.
You must not use personal data obtained through Syrena for purposes materially unrelated to the Relationship Work or interaction for which it was provided unless you have an independent lawful basis to do so.
You must notify us promptly if you become aware of a personal data breach involving personal data obtained through the Syrena Service where that breach may materially affect Syrena or another Member.
8.3 Privacy Policy
Our Privacy Policy at syrena.ai/privacy-policy explains what personal data we collect, how we use it, who we share it with, retention and your applicable rights.
If there is an inconsistency between this clause and our Privacy Policy concerning Syrena’s processing of personal data, the Privacy Policy prevails.
9. Member Disclaimer
9.1 Independent Members
Members and other people identified or contacted through the Syrena Service are independent third parties.
We are not responsible for their services, products, conduct, decisions or outcomes.
9.2 Network Checks
We may carry out identity, profile, eligibility, activity or other checks in connection with admission to or participation in the Syrena network.
Unless expressly stated otherwise, those checks do not constitute verification or endorsement of a Member’s financial standing, solvency, capability, credentials, suitability or fitness for any particular transaction, engagement or Objective.
You remain responsible for your own assessment and due diligence.
9.3 Transactions and Negotiations
Unless separately agreed in writing, we do not participate in or manage negotiations, engagements, investments, financing arrangements or other transactions between Members.
9.4 Member Information
Information about another Member surfaced through the Syrena Service, including summaries, assessments, profile information and Ren Output, may be based on information supplied by Members, third-party sources or automated systems.
Unless expressly stated otherwise, it is not independently verified by us and should not be relied upon without your own diligence.
9.5 Decisions and Outcomes
Members remain responsible for their own products, services, capital, professional activities, decisions and obligations.
We do not guarantee eligibility, approval, availability, commercial success, financing, investment, engagement, payment or any other outcome.
9.6 Conflicts
Members pursuing multiple Objectives or interacting in different capacities are responsible for identifying and managing conflicts of interest that may arise.
Unless expressly agreed otherwise, Syrena does not monitor or manage those conflicts.
9.7 Mandatory Liability
Nothing in this clause excludes or limits liability that cannot lawfully be excluded or limited.
10. Fees
10.1 Pricing
Fees for Credits, Ren and other paid services are those displayed through the Syrena Service or agreed with you in writing.
Applicable pricing, packages, Credit allowances and usage terms may change prospectively.
10.2 Refunds
Unless expressly stated otherwise at purchase or required by applicable law, fees are non-refundable once the relevant Credits or service have been consumed or provided.
10.3 Separately Agreed Transaction Fees
Where we separately agree with you in writing that a fee is payable to Syrena in connection with a transaction, engagement, investment or other arrangement arising through the Syrena Service, that fee is payable in accordance with that agreement.
Unless such a fee has been separately agreed, no commission or success fee is payable to Syrena merely because a transaction occurs between Members.
11. Liability Limitations and Indemnity
11.1 Standard of Service
The Syrena Service is provided on an “as available” basis.
We will provide the Syrena Service with reasonable care and skill but do not guarantee that it will be uninterrupted, error-free or achieve any particular Objective or outcome.
To the fullest extent permitted by law, warranties, conditions and other terms not expressly set out in these Terms are excluded.
11.2 Excluded Losses
Subject to clause 11.4, we are not liable, whether in contract, tort, negligence, breach of statutory duty or otherwise, for:
- loss of profits, revenue, business, opportunity, anticipated savings or goodwill;
- indirect or consequential loss;
- losses arising from interactions, communications, engagements or transactions between Members or third parties;
- inaccuracies, omissions or errors in Ren Output;
- an introduction, opportunity or relationship Ren identifies, does not identify, makes or does not make; or
- the acts, omissions, financial position, solvency, conduct or failure to perform of another Member or third party.
11.3 Liability Cap
Subject to clause 11.4, our total aggregate liability to you for claims arising in any 12-month period is limited to the greater of:
(a) £1,000; and (b) the fees you paid to us during the 12 months immediately preceding the event giving rise to the claim.
11.4 Liability That Cannot Be Excluded
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be excluded or limited.
11.5 Your Indemnity
You will indemnify us against losses, liabilities, damages, fines, costs and reasonable legal expenses incurred by us as a direct result of:
- your material breach of these Terms;
- your unlawful or fraudulent use of the Syrena Service;
- your unauthorised use or disclosure of another person’s confidential information or personal data; or
- a third-party claim that User Content supplied by you infringes that third party’s rights,
except to the extent that the relevant loss was caused by our own breach, negligence or unlawful conduct.
11.6 Indemnity and Liability Cap
The indemnity in clause 11.5 is not subject to the limitation in clause 11.3.
12. Termination
12.1 Termination by You
You may terminate these Terms at any time by closing your account.
Unless otherwise stated at purchase, unused Credits will be dealt with in accordance with the expiry, refund and other conditions applicable when they were purchased.
Where you terminate because of our material breach or because you do not accept a material change under clause 1.6, we will refund eligible unused paid Credits on a pro rata basis.
12.2 Termination or Suspension by Us
We may suspend or terminate access immediately where:
- you materially breach these Terms;
- we reasonably suspect fraudulent, unlawful or abusive use;
- payment remains overdue;
- continuing access creates a material security, legal or operational risk; or
- suspension is reasonably necessary to protect Syrena, another Member or a third party.
We may also terminate the Syrena Service or your access for convenience on at least 30 days’ notice. Where we do so, we will refund eligible unused paid Credits on a pro rata basis.
12.3 Effect of Termination
On termination, your right to use the Syrena Service ends.
Personal data and User Content will be retained or deleted in accordance with our Privacy Policy and applicable law.
12.4 Survival
Any provision which by its nature is intended to continue after termination will survive termination, including provisions relating to confidentiality, intellectual property, data protection, fees already due, disclaimers, liability, indemnities, governing law and dispute resolution.
13. Notices
Notices under these Terms must be in writing.
Notices to Syrena should be sent to legal@syrena.ai.
Notices to you may be sent to the email address associated with your account or through the Syrena Service.
Unless shown otherwise, an email notice is deemed received at 9:00 am on the next business day after it is sent.
This clause does not apply to service of proceedings or other documents in legal proceedings.
14. Entire Agreement
These Terms, together with our Privacy Policy, Network Standing Rules, applicable order or purchase terms and any other terms expressly incorporated by reference, constitute the agreement between you and Syrena concerning the Syrena Service.
They supersede previous discussions, correspondence or arrangements concerning their subject matter.
You acknowledge that you have not relied on any statement or representation not contained in or expressly incorporated into the agreement.
Nothing in this clause excludes liability for fraudulent misrepresentation.
15. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights or obligations to an affiliate or in connection with a financing, restructuring, merger, acquisition, sale of business or assets, or similar corporate transaction.
Where required, we will notify you of a material transfer affecting your rights.
16. No Partnership or Agency
Nothing in these Terms creates a partnership, joint venture, employment relationship or agency between you and Syrena.
Neither party has authority to bind the other except where expressly agreed in writing.
17. Third-Party Rights
Except as expressly provided in clause 6.3, a person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
We and you may vary or terminate these Terms without the consent of any third party.
18. Force Majeure
We are not liable for failure or delay in performing an obligation caused by circumstances outside our reasonable control, including material failures or withdrawal of third-party AI, cloud, hosting, communications, data or infrastructure services.
We will take reasonable steps to mitigate the effect of such circumstances.
If a material interruption continues for more than 30 days, either party may terminate the affected paid service on notice. Where appropriate, we will refund eligible unused paid Credits on a pro rata basis.
19. Severance and Waiver
19.1 Severance
If any provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid and enforceable or, where that is not possible, removed.
The remaining provisions will continue in effect.
19.2 Waiver
A delay or failure to exercise a right does not waive that right.
A partial exercise of a right does not prevent its further exercise.
20. Complaints

21. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes and claims, are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
